Welcome to Raiqa Labs H+ ("we," "us," "our"). These Terms & Conditions ("Terms") govern your use of our website, products, and services, including any tools, AI systems, or data platforms made available by Raiqa Labs H+ (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Eligibility

You must be at least 18 years old to use our Services. By using Raiqa Labs H+, you confirm that you have the legal capacity to enter these Terms and comply with them.

2. Services Overview

Raiqa Labs H+ provides AI-driven tools, analytics, and marketing intelligence solutions for healthcare, wellness, and related sectors. These Services are intended for informational and business use, not for direct clinical or medical decision-making.

3. Payment Terms

3.1. Billing Cycle

All service fees are billed monthly unless otherwise agreed in writing. Invoices are payable in advance for the upcoming service month.

3.2. Setup Fee

A one-time setup fee of A$499 (or equivalent USD) is charged at the start of the engagement. This covers onboarding, campaign configuration, and compliance setup. Setup fees are non-refundable under all circumstances.

3.3. Minimum Commitment Period

All service subscriptions require a minimum commitment of three (3) months from the date of activation unless otherwise agreed in writing. This ensures adequate time for campaign optimization, performance tracking, and measurable ROI delivery.

3.4. Payment Method

Payments can be made via credit/debit card, bank transfer, or other approved digital payment gateways. By providing payment details, you authorize Raiqa Labs H+ to automatically charge the recurring monthly amount unless cancelled under the terms below.

4. Account and Access

If you create an account with us:

  • You are responsible for maintaining confidentiality of your login credentials.

  • You agree to provide accurate and up-to-date information.

  • You are liable for all activity under your account unless proven unauthorized.

  • We reserve the right to suspend or terminate accounts that violate these Terms or applicable laws.

5. Payments and Fees

  • Setup and base package fees are charged as stated on our pricing page (e.g., AUD $499 setup fee, base plans starting from AUD $999, depending on client requirements).

  • All payments are due upfront unless otherwise agreed in writing.

  • Prices are subject to change with notice.

  • Refunds, if applicable, are processed in accordance with our refund policy or contractual terms.

6. Intellectual Property

All content, branding, design, software, and AI systems on or within Raiqa Labs H+ are the intellectual property of Raiqa AI Inc.

You may not:

  • Copy, reproduce, or distribute any material without written consent.

  • Reverse-engineer or extract AI model outputs for reuse.

  • Use our brand assets without permission.

All rights not expressly granted are reserved.

7. Acceptable Use

You agree not to use the Services for:

  • Unlawful, harmful, or deceptive purposes.

  • Spamming, phishing, or data scraping.

  • Infringing on third-party rights.

  • Uploading harmful code, bots, or malware.

We may suspend or block users for behaviour that violates these guidelines.

8. Privacy and Data Protection

Your use of Raiqa Labs H+ is governed by our Privacy Policy, which explains how we collect, use, and protect your data.

We comply with:

  • Australian Privacy Principles (APPs) under the Privacy Act 1988 (Cth), and

  • Applicable U.S. privacy laws, including state-level data protection frameworks.

By using our Services, you consent to our data practices described therein.

9. Cookies and Tracking

We use cookies and similar technologies to improve functionality, analytics, and user experience. You may control or disable cookies through your browser settings, but some features may not work properly as a result.

10. Third-Party Services

Our Services may integrate with third-party systems or links. We are not responsible for their content, policies, or actions. You are encouraged to review their terms and privacy practices before using them.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Raiqa Labs H+ is not liable for indirect, incidental, or consequential damages arising from your use of our Services.

  • We do not guarantee uninterrupted or error-free operation of our AI tools.

  • In jurisdictions where limitations are restricted, our liability shall not exceed the total amount paid by you within the past 3 months.

12. Disclaimers

Our Services provide marketing intelligence, not medical advice.

While Raiqa Labs H+ supports healthcare organizations, we do not offer or replace clinical judgment. Users are solely responsible for decisions made using our insights or data.

13. Governing Law

These Terms are governed by the laws of:

  • Queensland, Australia, and

  • Delaware, United States,

without regard to conflict of law principles.

Disputes may be resolved in courts of competent jurisdiction in either region.

14. Changes to Terms

We may update these Terms at any time. Updated versions will be posted with a new "Last Updated" date. Continued use after changes indicates acceptance of the revised Terms.
